Terms of Service

Please read these Terms carefully before using ManageBeds. They form a binding agreement between you and ManageBeds.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the ManageBeds hotel and property management software, websites, booking engine, and related services (collectively, the "Service") operated by ManageBeds ("ManageBeds", "we", "us").

By creating an account, subscribing to, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.

2. Description of the Service

ManageBeds provides cloud-based tools for hotels and accommodation providers, including reservations, front desk, housekeeping, food & beverage, inventory, accounting and reporting, a public booking engine, and channel connectivity. Features may be added, changed, or removed over time.

3. Accounts and Registration

You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must notify us promptly of any unauthorized use of your account. You are responsible for the acts and omissions of users you authorize on your account.

4. Subscription, Fees and Billing

Access to paid plans requires payment of the applicable subscription fees. Fees, billing frequency, and included features are described at the time of purchase and may be updated with prior notice.

Unless otherwise stated, fees are non-refundable except where required by law. Failure to pay may result in suspension or termination of access.

5. Guest Payments, Card Processing and Card on File

The Service lets hotels accept card payments from guests through integrated payment processors (currently Shift4 Payments). Card data entered on payment pages is tokenized by the processor: ManageBeds stores only a secure payment token, the card brand, the last four digits, and the expiry date — never the full card number or security code (CVV). Security codes are never stored by anyone, in any form.

Where a guest gives express consent (for example by ticking "save this card" at checkout), the resulting token may be kept on file and used by the hotel for later charges permitted by its published policies — such as incidentals, minibar or damage charges, extra nights, late checkout, no-show or cancellation fees, or agreed recurring billing. The hotel is responsible for obtaining and documenting that consent, for disclosing its cancellation, no-show and incidentals policies to guests before booking, and for charging saved cards only as those policies and applicable card-network rules allow.

All charges, refunds, and voids are executed by the payment processor under the hotel's own merchant account and are subject to the processor's terms. ManageBeds is not a party to the payment transaction between the hotel and its guest and does not hold guest funds. Guests who dispute a charge should contact the hotel first; chargebacks are handled between the hotel, its processor, and the card networks.

6. Acceptable Use

You agree not to misuse the Service, including: violating any law; infringing the rights of others; uploading malicious code; attempting to gain unauthorized access to the Service or other tenants’ data; reselling the Service without authorization; or using it to send unlawful or unsolicited communications.

7. Customer Data and Ownership

You retain all rights to the data you and your guests submit to the Service ("Customer Data"). You grant ManageBeds a limited license to host, process, and transmit Customer Data solely to provide and support the Service.

Each hotel’s data is logically isolated from other hotels. You are responsible for the accuracy and lawfulness of the Customer Data you collect and store.

8. Intellectual Property

The Service, including its software, design, and trademarks, is owned by ManageBeds and its licensors and is protected by intellectual property laws. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription; no other rights are granted.

9. Third-Party Services

The Service may integrate with third-party services (e.g., payment gateways, online travel agencies, email/SMS providers). Your use of those services is subject to their own terms, and we are not responsible for third-party services.

10. Availability and Support

We aim to keep the Service available and reliable but do not guarantee uninterrupted operation. We may perform maintenance, and we may modify or discontinue features. Support is provided per your plan.

11. Term and Termination

These Terms remain in effect while you use the Service. You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, or as required by law.

Upon termination, your right to use the Service ends. We may retain or delete Customer Data as described in our Privacy Policy and applicable law; you may request an export before termination where feasible.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANAGEBEDS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold ManageBeds harmless from claims arising out of your Customer Data, your use of the Service, or your violation of these Terms or applicable law.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, unless a mandatory law of your jurisdiction applies. Disputes will be subject to the courts located in that jurisdiction.
